Proxy Contests and Corporate Control Litigation
Attorneys in the firm’s securities and shareholder litigation practice group have substantial experience in representing both management and challengers engaged in proxy contests, consent solicitations and corporate control litigation. We are able to assist these clients at all stages, from the development of strategies, the evaluation of potential tactics, the preparation of materials for dissemination and filing, through the completion of a solicitation process, the holding of a shareholders’ meeting, and related litigation. Outside of proxy contests themselves, we are experienced in litigation concerning corporate control issues. Most recently, in 2009, we tried the first suit in Delaware Chancery Court over a triggered 5 percent poison pill and the pill’s substantial preclusive effect on future proxy contests for control of the corporation.
